1. Definitions

"Conextile", "the Platform", "we" or "us" means the Conextile B2B marketplace operated at this domain, connecting businesses active in the global used-textile industry (collectors, sorters, wholesalers and retailers).

"Member" or "you" means a business that has registered a company account on the Platform.

"Listing" means any offer, request, or company profile information a Member posts on the Platform.

2. The Role of the Platform

Conextile is a meeting place. We provide the directory, messaging, and marketplace tools that let Members find and contact one another. Conextile is not a party to, and does not act as an intermediary, broker, or agent in, any transaction, agreement, sale, or purchase concluded between Members. Any deal a Member enters into with another Member — including pricing, quality, quantity, delivery, and payment terms — is agreed and performed exclusively between those Members, at their own risk.

We do not verify, guarantee, or take responsibility for the accuracy of Listings, the quality or existence of goods described, or the solvency, reliability, or conduct of any Member. Members are responsible for conducting their own due diligence before entering into a transaction with another Member.

3. Membership, Registration & Verification

To become a Member, a business submits a registration with company details, contact information, and supporting information as requested in the registration form. We review this information before approving an account, and reserve the right to request additional documentation, reject a registration, or suspend or terminate an account where we reasonably believe the information provided is false, the applicant is not a genuine operating business, or continued membership would expose the Platform or other Members to legal, reputational, or financial risk (see also Section 7, Sanctions & Export Control).

Access to the full Member dashboard is granted only after (i) the registration has been reviewed and approved, and (ii) the applicable membership fee (Section 4) has been invoiced and payment has been confirmed by us. There is no automated payment gateway on the Platform; invoices are issued by email and payment is confirmed manually.

4. Fees, Invoicing & VAT

Membership is subject to a fee, communicated to you by invoice before your account is activated. We do not process payments on the Platform itself; invoices are sent by email with payment instructions, and account access is granted once payment has been confirmed.

VAT treatment

  • Netherlands-based Members: Dutch VAT (currently 21%) is charged on the membership fee, as this is a digital B2B service supplied domestically.
  • Members based elsewhere in the European Union: the reverse-charge mechanism applies to intra-EU B2B supplies of digital services. We verify the validity of the VAT identification number provided (via the EU VIES system) before applying the reverse charge, and invoices to such Members will state "Btw verlegd / VAT reverse charged" in place of a Dutch VAT amount.
  • Members based outside the European Union: the membership fee is treated as VAT-exempt (export of services), subject to us being able to reasonably establish that the Member is a genuine operating business established outside the EU.

If we are unable to verify a claimed VAT number or business status, we may charge VAT as if the reverse charge or export exemption did not apply, until satisfactory verification is provided.

5. Platform-to-Business (P2B) Provisions

These provisions reflect our obligations under Regulation (EU) 2019/1150 on promoting fairness and transparency for business users of online intermediation services.

Ranking

Where Listings or company profiles are ordered or ranked within the directory or marketplace, the main parameters determining that ranking include, without limitation: recency of the Listing, completeness of the company profile, relevance to the search or filter applied, and account status (e.g. verified/paid membership). We do not accept payment from Members in exchange for preferential ranking.

Suspension & Termination

Save for cases of a legal or regulatory obligation, a serious breach of these Terms, or a risk to the security or integrity of the Platform (in which case we may act immediately), we will give a Member at least 30 days' advance notice, together with the reasons for the decision, before suspending or terminating that Member's account.

Internal Complaint-Handling System

Members may submit a free complaint regarding a ranking decision, a suspension or termination, or any other decision we have taken that they believe is unfair, using our Complaints form. Complaints are logged, reviewed, and responded to by our team; there is no charge for using this system.

6. Digital Services Act (DSA) Provisions

In line with Regulation (EU) 2022/2065 (the Digital Services Act), we provide a notice-and-action mechanism through which anyone — including visitors who are not Members — can report illegal content, or a company Listing they believe is fraudulent or fake, using our Complaints & Notices form.

Notices are reviewed by our team, and we take action where a report is substantiated, which may include removing content, suspending an account, or refusing a registration. We keep records of notices received and actions taken, and report on these on at least an annual basis as required.

7. Sanctions & Export Control

Conextile will not knowingly provide services to, or facilitate trade with, any individual or entity that is listed on an applicable sanctions list, including but not limited to the consolidated EU sanctions list and the U.S. OFAC Specially Designated Nationals list, or that is located in a country or region subject to comprehensive EU or UN trade sanctions (at present, including Russia, Iran, and North Korea, among others, as those restrictions apply from time to time).

As a gatekeeper for our own platform, we screen registrations for indicators of sanctioned ownership or control, and reserve the right to request further information, decline a registration, or suspend an existing account where such a risk is identified. Members remain independently responsible for complying with all sanctions and export-control laws applicable to their own transactions with other Members.

8. Intellectual Property

The Platform, its design, and its underlying software remain the property of Conextile. Members retain ownership of the content they submit (company information, photos, Listings) but grant Conextile a non-exclusive licence to display that content on the Platform for the purpose of operating the directory and marketplace.

9. Limitation of Liability

To the maximum extent permitted by law, Conextile's liability towards a Member is limited to direct damages, and excludes indirect, consequential, or lost-profit damages. As set out in Section 2, we are not liable for the acts or omissions of Members, the outcome of transactions between Members, or the accuracy of Listings or company information provided by Members.

10. Governing Law & Jurisdiction

These Terms, and any dispute arising out of or in connection with them or the use of the Platform, are governed exclusively by the laws of the Netherlands. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG / Vienna Sales Convention) is expressly excluded.

Any dispute shall be submitted to the exclusive jurisdiction of the Rechtbank Rotterdam (District Court of Rotterdam), without prejudice to any mandatory consumer-protection rules that may apply where a party qualifies as a consumer.

11. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services or in applicable law. Where a change materially affects Members, we will provide reasonable advance notice consistent with Section 5. The "Last updated" date at the top of this page reflects the most recent revision.
